Proposed Changes to Bylaws

Proposed Changes to Bylaws

Submitted by the Executive Board & the Bylaws Committee

The following proposed changes are being distributed to the membership for discussion and a vote.  In accordance with the bylaws, there will be a thirty day discussion period. The ballot period will run simultaneously and end twelve days after the end of the discussion period. Therefore, you will have six weeks (forty-two days) from the date of the announcement to complete your ballot.

The ballot will be automatically presented to members when they log in to the NASIG website. Note that if your browser normally keeps you logged into the site, you will need to log out and then log back in before you see the ballot.

Changes:

Section 3 was changed to add the Standards Committee as a standing committee and to allow for staggered terms when a new standing committee is formed. The additions to Section 3 are shown in red below:

Section 3. Terms of Office.

Members of standing committees, except the Nominating Committee and the Standards Committee, shall be appointed for terms of two years unless appointed by special action of the Board, and may be reappointed for a second term.

Members of the Nominating Committee shall be appointed for terms of one year. Nominating Committee members can be reappointed for a second one year term provided that at least 50 percent of the committee consists of new members. In no case shall a member serve on a committee for more than two consecutive terms without an intervening period of two years.

Members of the Standards Committee shall be appointed for terms of five years. In no case shall a member serve on the Standards committee for more than two consecutive terms without an intervening period of two years.

When establishing a new committee, half of the members shall be appointed for a one year term and half for a two year term in order to have staggered terms thereafter. After the first year, all terms will be for two years or the length specified in the Bylaws.

Rationale:

These bylaw changes incorporate the Standards Committee as an official standing committee with its own terms for committee members. In addition, language was added to so that any new standing committee would be setup to have staggered terms.

Implementation:

The Standards Committee officially becomes a new standing committee for NASIG. In addition, the desire to have staggered terms so a committee never has all new members is codified.
